Moolah Platform Terms of Service

Welcome to Moolah! By using our platform, ("Moolah", "we", or "us"), you agree to comply with these Terms of Service (the "Terms"), as well as our Privacy Policy and other policies outlined on our Policies page. If you do not agree with any part of these Terms, please refrain from using Moolah.

Platform Overview

Moolah is a marketplace designed to connect individuals interested in buying and selling items. While Moolah facilitates these connections, Moolah acts solely as a platform provider and is not a party to any sale agreements between buyers and sellers. All transactions, communications, and obligations related to Products and Services are solely between the buyer and seller involved in each transaction.

Our platform also offers various features to enhance your shopping experience, including in-app Koinz (Points) options and optional third-party managed payment processing to support secure transactions.

Eligibility and Account Creation

When creating your Account, you agree to provide accurate and complete information and to keep your details updated as necessary. Moolah reserves the right to suspend or terminate any Account that does not comply with these guidelines.

Account Responsibilities

You are responsible for all activities associated with your Moolah Account, including maintaining the confidentiality of your username and password. Please report any unauthorised Account use immediately.

Transactions on Moolah

All sales transactions on Moolah are conducted directly between users. Moolah does not take possession of Products or Services and does not guarantee their condition, quality, or legitimacy. As a buyer, you are solely responsible for verifying all information and communicating with the seller to resolve any discrepancies or issues with a Product or Service.

For added security and convenience, we offer Moolah Koinz ("MK") as a way to receive discounts on in-app purchases. MK is managed through a trusted third-party provider, ensuring compliance with relevant regulatory guidelines, including limitations on stored value, top-up caps, and non-transferability. MK can only be used within the Moolah platform, offering a secure and exclusive way to access in-app boosters, subscription plans, and other features. Please note that MK is non-refundable, non-transferable, and cannot be exchanged for external goods or services. Additionally, MK cannot be used to purchase new Koinz.

Privacy Policy

We value your privacy and strive to protect your personal information. Our Privacy Policy details the types of data we collect and how it is used. Please review our Privacy Policy to understand our practices.

Dispute Resolution

Any disputes arising from your use of Moolah shall be resolved through binding arbitration unless otherwise prohibited by applicable law. For more information on dispute resolution and arbitration, please see our full Terms and Conditions.

Modifications to Terms

Moolah may update these Terms from time to time to enhance our services and improve user experience. We will notify users of significant changes, and continued use of the platform indicates your acceptance of any updated Terms.

Required Seller Information

Sellers are required to provide the following in their Profile: (1) full legal name, (2) valid email address, (3) physical address, (4) contact phone number. Users may also add other optional details in their Profile and Account as requested ("User Information").

As a condition of using the Moolah platform, all submitted information must be current, complete, and truthful. You agree that all data provided upon registration is governed by our Privacy Policy, and by using the platform, you consent to all actions taken in accordance with it.

Account Access and Contacts Permission

Upon Account setup, Moolah may request access to your contacts to help connect with people you know on the platform and invite new users. If you allow this, you are responsible for obtaining the required permissions from your contacts. You can adjust your device’s privacy settings at any time to enable or disable Moolah's access to contacts.

Third-Party Terms Compliance

By registering as a Seller, you agree to comply with the terms of any third-party services associated with Moolah, including payment processors (e.g., Stripe), shipping providers (e.g., SingPost), and any other relevant third-party services.

Account and User Information Security

Your User Information is your responsibility to protect. Notify us immediately if you suspect unauthorised access or misuse of your Account. You are responsible for all activity associated with your Account, even if unauthorised.

Access Control and Limitation of Access

We reserve the right to restrict, suspend, or terminate any Account for violations of our Terms of Service, fraudulent activities, or any other reason that may compromise the security and integrity of Moolah. Moolah is not liable for any losses resulting from unauthorised Account access, including fraudulent transactions or breaches of security.

Platform Usage and Conduct Restrictions

We reserve the right to restrict, suspend, or terminate any Account for violations of our Terms of Service, fraudulent activities, or any other reason that may compromise the security and integrity of Moolah. Moolah is not liable for any losses resulting from unauthorised Account access, including fraudulent transactions or breaches of security.

You agree not to use the platform in any way that:

  • Violates third-party intellectual property rights, privacy rights, or is otherwise unlawful.

  • Involves posting fraudulent, false, misleading, harmful, or discriminatory content.

  • Exploits or harms any individuals, including minors.

  • Creates excessive demand on Moolah’s servers or interferes with any feature.

  • Involves unauthorised access, scraping, or bypassing security measures.

  • Attempts to circumvent or compromise platform security.

  • Uses automated systems (e.g., bots) without authorisation.

Moolah reserves the right to remove or restrict access to content that is deemed objectionable or in violation of these Terms. Illegal activity or the sale of unauthorised or stolen items is strictly prohibited and may lead to account suspension or termination.

Usage Rights and Termination

You are granted a limited, revocable, non-transferable license to use Moolah for personal or business purposes as outlined in these Terms. Any violation will result in the immediate termination of platform access and rights.

User Legal Compliance

Users are expected to comply with all applicable laws and regulations when using Moolah, including any requirements that may apply to the listing, sale, purchase, or delivery of certain products.

Sellers are responsible for ensuring that the products they list and sell are lawful and meet all relevant regulatory requirements. Buyers are responsible for complying with any laws that apply to their purchases.

Moolah operates as a technology marketplace and does not provide legal advice. While Moolah maintains platform rules and enforcement measures, users remain responsible for understanding and complying with any laws applicable to their own activities.

Prohibited Items and Legal Compliance

Moolah prohibits the sale or listing of certain items, including but not limited to weapons, recalled products & services, alcohol, tobacco and drugs. By using Moolah, you agree to comply with all relevant Singapore laws and regulations, as well as any applicable international laws, regarding your transactions and listings. You acknowledge that you are solely responsible for ensuring that your actions on Moolah are in full compliance with these laws. You agree to indemnify and hold harmless Moolah, its affiliates, officers, directors, and employees from any claims, liabilities, or damages arising from your use of the platform in violation of these laws.

While Moolah encourages compliance, we do not guarantee that:
  • Transactions through Moolah will adhere to applicable laws.

  • Users’ listings or transactions meet legal requirements.

  • Moolah’s platform itself is in full compliance with applicable laws.

Where permissible by law, Moolah disclaims liability for claims arising from or related to users' compliance with laws.

Account Deletion

Account deletion refers to the permanent closure of your Moolah account, which removes all associated data, content, and information. Once your account is deleted, you will no longer have access to any services, transactions, or support from Moolah.

  • If you are a seller, make sure you have received all payments from buyers before deleting your account.

  • If you are a buyer, make sure you have received all your new orders before deleting your account.

  • Moolah will not be able to support you for your orders after you delete your account.

  • If you delete your account, you will lose all information and content permanently.

Pricing, Billing, and Fees

General Pricing

Currently, creating an account and accessing Moolah’s features is free. However, sellers are responsible for certain transaction-related fees as outlined in our Fee Schedule. Users may be prompted to enter a preferred payment method when registering.

Subscription Fees

Moolah offers subscription plans that provide access to premium features. These subscription fees will be clearly outlined on the platform, and users will be required to select their preferred plan and provide payment details at the time of registration or renewal. Subscription fees are billed on a recurring basis as per the selected subscription period (monthly or annual).

In-App Purchases

In addition to subscription fees, Moolah offers various in-app purchases, including Moolah Koinz (MK) for discounted access to features, products, and boosters within the platform. These purchases are optional and are made using the preferred payment method linked to the user’s account. All in-app purchases, including Koinz, Plans, and Boosters, are final and non-refundable.

Boosters

Moolah offers several optional boosters designed to enhance the user experience. These boosters, which include features such as premium spot placements, power peaks, shoot ups, starlights and supernovas, can be purchased separately. The cost for each booster will be clearly outlined on the platform, and users can purchase them using their linked payment method or Moolah Koinz (MK). All purchases of boosters are final and non-refundable.

Fee Structure

Fees for transactions, subscriptions, in-app purchases, and boosters are subject to change and will be communicated to users in advance. Please refer to our Fee Schedule for detailed information on applicable fees.

You authorise Moolah or its Billing Agent to charge your selected payment method for any fees applicable to transactions. Fees will be automatically billed upon completion of a transaction.

Maintaining Payment Information

It’s essential to keep your payment information up to date. Moolah is not liable for charges resulting from insufficient funds or declined payment methods. There will be ten (10) payment attempts, one (1) per day for ten (10) consecutive days. If payment fails after the tenth attempt, the plan will revert to the Basic Plan, retaining only the last 10 image listings while deactivating older ones from oldest to newest (i.e., the most recent listings will remain). All video listings will be deactivated. To avoid this inconvenience, users are encouraged to update their payment method before the due date to prevent any disruption.

Billing Authorisation

By registering with Moolah, you authorise:

  • Moolah or its Billing Agent to place holds and charges on your payment method for any applicable fees.

  • Up to ten (10) consecutive attempts to process the payment until the amount is fully paid.

Failure to maintain an active payment method may result in account deactivation. To reactivate, users must settle any outstanding balances.

Pre-Authorisation Charge for Card Verification

When adding a new credit or debit card, a small pre-authorisation charge (typically $1) may be applied to verify the card‘s validity. This is a standard practice by payment processors, such as Stripe, to ensure the card is active and can process transactions. The charge is temporary and will be automatically reversed.

While most pre-authorisation charges are refunded within 5–7 days, the exact timeline depends on the card issuer‘s policies. In some cases, the hold may remain for up to 14 days or longer, and in certain situations, it could take up to 30 days for the hold to be released.

Listing and Selling Items

When a seller lists an item on Moolah, they create an offer to sell at the specified price.

When a buyer commits to purchasing an item through Buy Now or by placing the highest price offer in a live price offer session, a binding transaction is formed directly between the buyer and the seller.

Moolah facilitates the transaction by providing checkout, payment processing, and shipping options. The buyer completes payment through the in-app checkout flow for the full amount, including any applicable fees.

Sellers are responsible for preparing the item for shipment and printing the shipping label, either at home or at a print shop. Items must be shipped using Moolah’s supported shipping services or an approved third-party provider. Delivery costs are borne by the buyer unless stated otherwise.

Payout to the seller, minus applicable platform and processing fees, is released upon confirmed delivery. If the buyer has opted for Moolah Protection or a dispute is raised, payout may be delayed for up to 10 days while the matter is reviewed.

Sellers are responsible for ensuring their payout details are accurate. Moolah is not liable for payments sent to incorrect accounts due to inaccurate information provided by the seller.

Moolah Seller Responsibilities for Item Transactions

1.

Completion of Transactions:

A transaction occurs when a seller’s listed price and a buyer’s offer align. Upon a successful transaction, sellers must fulfil all necessary steps, including shipping the item to the buyer following Moolah’s shipping guidelines.

2.

Shipping and Delivery:

Sellers are provided with printable shipping labels to dispatch items within Singapore. Labels can be printed at home or at any nearby print shop. Buyers cover both the initial delivery and return costs, including the return shipping label. This applies to all returns, including those due to mismatched descriptions or conditions.
Please ensure item weights are declared accurately during listing. If the actual weight exceeds the declared amount, Moolah will deduct the difference from the seller’s earnings to cover the additional cost. Repeated underdeclaration may lead to account suspension or termination.
Not following the shipping and return policies may lead to a lower seller rating, extra fees, listing removal, or suspension from Moolah.

3.

Free Lucky Draw – Shipping Terms

For Lucky Draw giveaways, sellers and buyers must coordinate directly to arrange shipping. If delivery is required, the seller is responsible for covering the shipping cost.

4.

Item Accuracy:

Sellers must ensure all item descriptions, conditions, and images are accurate and reflect the item’s actual state. Any discrepancies or misrepresentations may result in penalties, such as transaction cancellation, refunds, additional fees, or further account restrictions.

5.

Consequences for Non-Compliance:

Moolah reserves the right to impose the following penalties for any violations:

  • Listing removal, transaction cancellation, payment withholding, account suspension, or account ban.
  • Additional charges to recover costs from refunds or non-compliant items.

6.

Refunds and Returns:

Sellers may be required to handle buyer refunds and returns directly through Moolah’s app. In such cases, the seller‘s earnings will be adjusted accordingly.
Sellers must comply with Moolah’s Return Policy and avoid any deceptive practices when managing returns.

7.

Non-Conforming Items:

Moolah is not responsible for returning items that don’t match the listed description. The buyer covers both the delivery and return shipping costs. Items identified as counterfeit, stolen, or unauthorised may be turned over to the appropriate authorities.

Moolah Buyer Responsibilities for Item Transactions

1.

Transaction Payment:

Buyers are responsible for completing payment for each transaction, including any additional fees and applicable taxes. Buyers must ensure payment methods are up-to-date to fulfil transaction requirements. Penalties for payment-related issues may include additional charges, account limitations, or suspension.

Moolah Responsibilities for Item Transactions

1.

Payment Processing:

After confirmed delivery, Moolah via a third-party payment processor will disburse payment to the seller. If the buyer has opted for Moolah Protection or a dispute is raised, the payout may take up to 10 days. In the event of a dispute, Moolah may delay payment, request the return of the item, or issue a refund to the buyer if necessary.

2.

Item Verification (Opt-In):

Moolah may offer Optional item verification to assess authenticity and condition. However, Moolah is not liable for any discrepancies in item verification outcomes, except where otherwise mandated by applicable law.

3.

No Responsibility for Shipping Damage:

Unless specifically covered under Moolah’s policies, Moolah is not liable for items lost or damaged during shipping. Shipping damage will be covered by the third-party delivery partner, such as SingPost, according to their terms and conditions. While Moolah may assist by providing historical sales data and value estimates, it does not guarantee future sales or item value

Moolah Free Pickup Services

1.

Service Overview

Sellers may offer free pickup options, allowing buyers to collect items directly from a specified location. Buyers will receive relevant pickup instructions, including location and contact details, in their order confirmation.

Moolah’s Role as Collection Agent for Sellers

Each Seller authorises Moolah to act as a collection agent solely for the limited purpose of receiving, holding, and distributing payments from Buyers for transactions completed on the Moolah platform.

Moolah acts as a collection agent only for transactions conducted through the platform and does not act as a seller, buyer, auctioneer, broker, or agent for the sale of goods. Moolah is not a collection agent for transactions conducted outside the platform.

Any payment received by Moolah on behalf of a Seller is treated as payment made directly to the Seller, and the Buyer’s payment obligation is deemed fulfilled at that point. Based on this confirmation, Sellers are expected to fulfil their obligations to Buyers in accordance with platform policies.

Settlement of funds to Sellers is contingent upon successful receipt of funds from the Buyer. If a Buyer initiates a chargeback, reversal, or payment dispute, Moolah may temporarily withhold settlement to the Seller until the matter is resolved.

If Moolah fails to remit payment after successful receipt of funds, the Seller’s recourse is limited to Moolah and does not extend to the Buyer.

Moolah Protection

Moolah Protection is an optional feature available only when selected by the Buyer at checkout. It applies to eligible purchases made through standard listings or live price offer sessions conducted on the platform.

Moolah Protection does not apply to services or transactions conducted outside the Moolah platform. Coverage, limits, and eligibility are governed by the applicable Moolah Protection terms.

Seller Content on Moolah

Sellers may post content, including text, images, videos, and livestreams, related to their listings and live selling activities (“User Content”).

By submitting User Content, Sellers represent that they own or have the necessary rights and permissions to use the content and grant Moolah a non-exclusive, royalty-free licence to host, use, display, and distribute such content for platform operation, transaction verification, and promotional purposes.

Sellers consent to the recording and storage of livestreams and related content for transaction verification, dispute resolution, and fraud prevention. Moolah may edit, restrict, or remove content that violates platform guidelines or generates substantiated complaints.

Eligibility and Platform Role

Moolah provides a technology marketplace that enables Sellers to list products, conduct live selling, and receive price offers from Buyers. Moolah does not conduct auctions, does not call or manage bids, and does not sell goods on behalf of Sellers.

All sales are conducted directly between Buyers and Sellers, with Moolah providing the supporting platform, payment facilitation, and related services.

Liability, Assumption of Risk, and Disputes

Acknowledgement of Risk

You acknowledge that interactions with other Users on or outside of Moolah come with inherent risks, whether they occur through messaging, calls, or in-person meetings. Moolah encourages all Users to act cautiously and responsibly in all transactions and interactions facilitated by our platform. We disclaim liability for claims arising from these interactions, except where prohibited by applicable law.

No Warranties

Moolah provides the platform and its content on an “as-is” basis, without any guarantees or warranties. While we strive to support a reliable environment, we make no guarantees regarding uninterrupted service or error-free operation of the app or associated features (e.g., item verification, historical data). All services and features are provided without implied warranties of merchantability, fitness for a specific purpose, accuracy, or non-infringement, except as required by applicable law.

Some jurisdictions may not permit certain disclaimers. In those areas, applicable disclaimers may be adjusted as per local regulations.

Transaction and Payment Instrument Disclaimer

Moolah holds no responsibility for ensuring the accuracy or sufficiency of payment instrument information provided by Users. Moolah is not liable for transactions that fail due to inaccurate payment information or if fees are incurred due to User’s payment method agreements. Users assume full responsibility for validating the identity and legitimacy of any transactions.

Disclaimers of Liability

Moolah shall not be liable to you for any special, consequential, incidental, indirect, or punitive damages, including but not limited to loss of profits, revenue, data, or opportunities, arising out of your use of the Moolah platform, whether related to transactions, user-generated content, item verification, or any other service or feature provided by Moolah. This includes any direct or indirect loss to you, your items, or your property.

Moolah shall not be held responsible for any damage or liability resulting from suspension, termination, or inability to access your account or content, or any errors, failures, interruptions, or defects within the platform.

Furthermore, Moolah disclaims all liability relating to the platform's compliance with applicable laws, including but not limited to consumer protection regulations, as well as your adherence to these laws while using Moolah.

Moolah does not endorse or guarantee third-party services, and is not liable for any issues arising from their use in connection with Moolah.

Moolah is not responsible for any damages or loss resulting from:

  • User errors (e.g., forgotten passwords, incorrect transaction inputs, or mistyped addresses)

  • Server or data failures

  • Corrupt files

  • Unauthorised access to the platform

  • Third-party attacks (e.g., phishing, brute-forcing)

User Disputes

Any dispute arising between you and another user must be resolved directly between you and that user. Moolah assumes no responsibility for resolving user disputes and will not be liable for any resulting damages, except as required by applicable law. By using Moolah, you release the platform from any claims or liabilities stemming from such disputes.

Limitation of Liability

Moolah's liability to you for any cause of action, regardless of form, is limited to the total fees paid by you to Moolah in the 12 months preceding the event causing the claim. If no fees have been paid, Moolah’s maximum liability is SGD 100.

This does not apply to general refunds for paid plans, boosters, features, Moolah Protection, or shipping deliveries. Moolah will not be liable for these unless there is a specific legal issue or a fault caused by Moolah.

In jurisdictions where limitations on liability are not enforceable, some or all exclusions may not apply.

Indemnification by You

You agree to defend, indemnify, and hold harmless Moolah, its affiliates, employees, contractors, and agents from any liabilities or costs, including reasonable legal fees, arising from your use of the platform, any disputes with other users, your breach of these terms, or any third-party claims.

Limitation on Time to File Claims

Claims must be filed within one (1) month of the cause of action arising. Claims filed after this period are permanently barred. This limitation may not apply in certain jurisdictions.

Force Majeure

Moolah is not responsible for delays or failure to meet responsibilities caused by events outside its reasonable control, including but not limited to natural disasters, governmental actions, and labour conditions.

Arbitration Agreement and Dispute Resolution

By using Moolah, you agree that any disputes will be resolved through binding arbitration, rather than through a class or representative action. The arbitration will be conducted in accordance with the rules of the Singapore International Arbitration Centre (SIAC) or, if applicable, the Consumers Association of Singapore (CASE) mediation services.

Governing Law and Jurisdiction

Claims will be governed by the laws of Singapore, excluding any conflicts of law provisions. In cases where arbitration provisions are unenforceable, litigation may be commenced in the appropriate courts in Singapore.

General Rules and Requirements for Promotions on Moolah:

1.

Responsibility for Compliance

You, not Moolah, are solely responsible for ensuring your promotions comply with all applicable laws and regulations, including but not limited to:

  • Terms and eligibility requirements (e.g., age, location restrictions)

  • Official promotion rules

  • Marketing guidelines

  • Registration and necessary regulatory approvals

  • Tax compliance

Your promotion must be conducted lawfully in every jurisdiction where it is offered, and it must adhere to all applicable rules, laws, and regulations at all times.

2.

Official Rules Requirement

You must post a clear and detailed set of “Official Rules" for your promotion that complies with all applicable laws, including:

  • A statement that "no purchase or fee is necessary to enter or win" (if applicable).

  • A statement that the promotion is “void where prohibited“.

  • Eligibility details (age, geographic restrictions).

  • Instructions on how to enter.

  • A description of the prize(s) and approximate market value(s).

  • Information on how winners will be selected.

  • Prize distribution details.

  • A timeline with key dates and times (e.g., entry periods, winner selection, and prize distribution dates).

  • A link to your legally compliant privacy notice regarding how you handle personal data.

  • A complete release of Moolah from any liability related to your promotion (e.g., injuries, property damage, etc.) Example: "By participating in this promotion, entrant agrees to release Moolah and its affiliates from any liability related to injuries, losses, or damages incurred during or after participation in the promotion."

  • Gambling and betting are strictly prohibited: Any form of gambling or betting is not allowed in this promotion. The promotion is intended solely for lawful, non-gambling purposes and will comply with all relevant laws.

3.

Promotion Disclosure

You must clearly disclose that the promotion is not sponsored, endorsed, or administered by Moolah.

Example: "This promotion is in no way sponsored, endorsed, or administered by, or associated with, Moolah."

4.

Method of Entry

Participation on Moolah is free. No entrance fees, participation fees, or fees to place price offers are required.

5.

Prohibited Activities

Your promotion must not involve illegal activities or violate third-party rights. This includes, but is not limited to, fraud, misrepresentation, or any form of unlawful activity.

6.

Moolah's Right to Remove Promotions

Moolah reserves the right to remove or take down any promotions or Lucky Draws that do not comply with these rules, with or without prior notice to you.

Miscellaneous

1.

Please direct any queries, feedback, or support requests to Moolah‘s designated contact or help page.

2.

Enforceability of Terms

Even if Moolah does not enforce these terms strictly, you are still required to comply with them. Any failure by Moolah to enforce the terms shall not waive our right to do so in the future.

3.

Third-Party Content

Moolah may provide links to third-party websites or services. Moolah is not responsible for the content, services, or claims made by third parties.

4.

Entire Agreement & Severability

These terms, along with any applicable policies, constitute the entire agreement between you and Moolah. If any part is deemed invalid or unenforceable, the rest of the terms will remain in effect.

5.

Amendments to Terms

Moolah may revise and update these terms periodically and will notify you of any changes at least 30 days in advance. All changes will take effect immediately upon posting, and it is your responsibility to review the updates. Continued use of Moolah’s platform constitutes your acceptance of the updated terms.

6.

Communication

You agree to receive communications from Moolah electronically via email and SMS. This includes legal notices, promotional updates, and other important communications.
